Standard Agreements
Standard agreements have been developed by the Office of Sponsored Programs Administration (OSPA), Iowa State University Research Foundation / Office of Intellectual Property and Technology Transfer (ISURF/OIPTT) and the Office of the Vice President for Research and Economic Development (VPR) for use at Iowa State University.
The intent of the standard documents is to facilitate interactions with third parties and decrease the amount of time spent negotiating. These agreements contain terms that are consistent with University policy.
Because these agreements are always subject to change, please direct all questions regarding the terms of the agreements to the Office of Sponsored Programs Administration (OSPA), , 515-294-5225. OSPA will select and negotiate an appropriate agreement, prepare signature documents and obtain the appropriate signatures when the negotiations are complete.

Non-disclosure Agreement
The Non-disclosure Agreement is also referred to as a Confidentiality Agreement. This document is intended for mutual exchange of confidential information. However, the document can be easily edited if the information exchange is one way.

Material Transfer Agreement - Simple Version
This agreement is recommended for use when transferring biological materials to or from other universities or not-for-profit research institutions.

Material Transfer Agreement - Extended Version
This agreement is recommended when transferring biological materials to or from a company. This agreement is generally more acceptable to industry than the simple version because of the extended definitions, ownership, and use of materials section.

Sponsored Project Agreement
The Sponsored Project Agreement is intended to replace a variety of agreements including Memorandum of Understanding (MOU), Contract Research Agreement, and Sponsored Research Agreement. Please remember that a GoldSheet will need to be processed prior to OSPA signing a Sponsored Project Agreement.

Subcontract/Subaward/Subrecipient Agreement.
A subcontract or subaward is written to a collaborating partner of a sponsored project awarded to ISU. Subcontracts are written under contracts; Subawards are written under grants. Both are subrecipient agreements and provide for a legal bond with a collaborating partner. These are not to be confused with procurement agreements for the purchase of goods or services, but represent a full collaborative relationship between ISU and the Subrecipient, whereby the terms of the prime award to ISU are flowed down to our partner.
